The Practice hereby agrees to use the SMS Software and acknowledges by the signature hereto of its authorised representative (“the Representative”) that its attention has been drawn to all of the terms and conditions contained in the Licence Agreement, including the Conditions of licence which are incorporated herein. The practice undertakes to identify each and every SMS sent by the practice as originating from the practice. The Representative warrants by his/her signature hereto that he/she has read and understood all of the said terms and conditions. The practice warrants that it has access to a working Internet and FTP connection and understands that this connection is required for the SMS facility, and that it is the responsibility of the practice to establish and maintain this connection. Further, that the subscription service is billed in advance and that the practice will be responsible for payment in the month of cancellation. The practice understands and agrees that it is the responsibility of the practice to active, monitor and ensure the SMS facility is operational. The Practice hereby requests and authorizes Health Focus or its cessionary to draw against the Practices bank account the amounts due by the Practice in terms of this Agreement in respect of the SMS fee or otherwise, commencing on the Effective Date and continuing until all amounts due by the Practice to Health Focus are settled in full. The invoice presented by Health Focus for SMS services shall be deemed to be the amount due in terms of this agreement. The Practice acknowledges that it shall not be entitled to any refund of any such payments made while this authority is of force and effect.
